Non-Disclosure Agreement (NDA)
This Agreement is made effective as of the date of the user's acceptance, by and between the International Islamic Guidance Center (IIGC) and the User/Member/Donor/Volunteer accessing the IIGC website, programs, or data.
1. Preamble and Purpose
The purpose of this Agreement is to protect the sensitive information, proprietary assets, and strategic interests of IIGC. In the course of your interaction with IIGC (whether as a member, donor, volunteer, or visitor to our platforms) you may be exposed to confidential information regarding our operations, beneficiaries, and strategic vision. This Agreement sets forth the terms under which such Confidential Information may be disclosed and used.
2. Definition of Confidential Information
For the purposes of this Agreement, "Confidential Information" shall mean any and all non-public information, data, or know-how, whether disclosed orally, in writing, or in electronic format, that is disclosed by IIGC to the Receiving Party. This includes, but is not limited to:
- Financial DataIIGC's financial statements, budgets, funding sources, bank details, revenue models, and donor financial records.
- Donor InformationPersonal contact details, donation amounts, and preferences of any individual or entity that has contributed to IIGC.
- Strategic PlansFuture programs, "AI + Quran" workshop strategies, expansion plans, marketing roadmaps, and unpublished books or literature.
- Program DetailsOperational methodologies, curriculum content for the "224 Commands" workshops, lecture scripts, and event logistics.
- Intellectual PropertyThe content of books authored by Aamer Qamar Malik, including "224 Commands of The Quran," "Was Islam Spread by the Sword?", and other manuscripts.
- Operational DataOrganizational hierarchy, staff lists, vendor contracts, and internal communications.
3. Obligations of the Receiving Party
The Receiving Party agrees to:
- 1. Strict ConfidentialityHold all Confidential Information in strict confidence and take all reasonable precautions to protect such Confidential Information (including, without limitation, all precautions the Receiving Party employs with respect to its own confidential materials).
- 2. Limited UseUse the Confidential Information solely for the purpose of engaging with IIGC's mission, programs, or services. You shall not use the Confidential Information for your own commercial benefit, financial gain, or any other purpose unrelated to IIGC's authorized activities.
- 3. No DisclosureNot disclose, publish, or disseminate any Confidential Information to any third party without the prior written consent of IIGC. This includes not posting donor lists or internal financial data on social media or public forums.
- 4. Access ControlRestrict access to Confidential Information to those employees or agents who have a bona fide need to know such information for the authorized purpose and who are bound by confidentiality obligations no less restrictive than those contained herein.
- 5. Data ProtectionComply with all applicable data protection laws regarding the handling of donor personal data.
4. Term and Termination
This Agreement shall commence upon the date of acceptance (e.g., upon checking the "I Agree" box on the website or signing the document) and shall remain in full force and effect in perpetuity regarding the confidentiality of Donor Information and Intellectual Property.
For all other Confidential Information, this Agreement shall survive for a period of three (3) years from the date of the last disclosure or until such information becomes public knowledge, whichever occurs first.
5. Consequences of Breach
The Receiving Party acknowledges that any breach will cause irreparable harm to IIGC...
- Immediate Action: IIGC reserves the right to immediately terminate the User's membership or volunteer status and ban them.
- Legal Remedies: IIGC shall be entitled to seek specific performance, injunctive relief, and other equitable remedies.
- Monetary Damages: Receiving Party shall be liable for any and all damages, including legal fees and court costs.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
Any dispute... shall be settled by arbitration to be held in Lahore, Pakistan, in accordance with the Arbitration Act of the Islamic Republic of Pakistan. Number of arbitrators shall be one, language English. If not applicable, parties consent to the exclusive jurisdiction of the Courts of Lahore, Punjab, Pakistan.
7. Acceptance
You must agree to this NDA if you want to become a user, visitor, donor, or member of the organization and want to contribute in its mission and projects. If you do not agree, please leave the website and its web services immediately.
